STANDARD TRADING CONDITIONS
(Full Legal Version – Reliance Foundries (Pty) Ltd)
1. Definitions
“Company” means Reliance Foundries (Pty) Ltd.
“Customer” means the purchaser or party contracting with the Company.
“Goods” means all products supplied, including steel, billets, castings, forgings, rolled items, fabricated components, window frames, agricultural parts, alloy products, metal structures, fasteners, engineering items and traded materials.
“Services” means melting, casting, rolling, forging, machining, cutting, welding, fabrication, repairs, processing, engineering work and any labour performed by the Company.
“T&Cs” means these Standard Trading Conditions.
2. Applicability
These Terms apply to all Goods and Services supplied by the Company.
Acceptance of an order, quotation, delivery or payment constitutes acceptance.
No employee or agent may vary these T&Cs unless signed by a Director.
3. Customer Specifications & Drawings
All production is based strictly on Customer-supplied specifications.
The Company is not responsible for design suitability, engineering calculations, load performance, incorrect measurements or material selection.
Final drawings/specifications must be confirmed in writing.
4. Manufacturing & Tolerances
Standard industry tolerances apply to rolling, forging, casting, machining, welding and fabrication.
Variations within tolerance are not defects.
Melting losses, yield variations, rolling tolerances, casting porosity, forging scale loss, and fabrication distortion are normal.
5. Material Characteristics
Chemical/mechanical variations may occur.
Mill or supplier test certificates are indicative only.
6. Fabrication & Installation
Installation, fixing, anchoring, alignment and site conditions are Customer’s responsibility.
No liability for site errors, misalignment or on‑site modifications.
7. Customer‑Supplied Materials
Risk of loss or damage remains with Customer.
No guarantee on output quality from Customer‑supplied materials.
8. Quotations & Pricing
Valid 30 days.
Exclude VAT and transport unless stated.
Deposits may apply to custom or non‑stock items.
9. Delivery
Delivery times are estimates.
Risk transfers on delivery/collection.
Offloading is Customer’s responsibility.
10. Ownership
Ownership remains with the Company until full payment is received.
11. Warranty
Goods warranted only to materially conform to agreed specifications.
No warranty for misuse, incorrect installation, corrosion, modifications or incorrect grade selection.
12. Liability
Company not liable for:
- loss of profit or production
- plant shutdown or delays
- penalties or liquidated damages
- site rectification or reinstallation
- indirect or consequential loss
Liability limited to replacement OR invoice value.
No liability for ordinary negligence; only gross negligence under Botswana law.
13. Indemnity
Customer indemnifies the Company for losses arising from misuse, incorrect installation, wrong drawings, design errors or unsafe handling.
14. Returns
Standard stock only; 14 days.
Manufactured, cut, cast, forged, rolled or fabricated items are non‑returnable.
15. Payment
COD or approved credit.
Interest charged at maximum legal rate.
No set‑off allowed.
16. Legal Costs
Customer liable for legal, tracing and collection fees.
17. Force Majeure
Company not liable for delays beyond its control.
18. Governing Law
Botswana law applies.
Company may proceed in High Court or Magistrates Court.
19. Amendments
Latest version on Company website applies.
